We have considerable experience and knowledge in aiding companies in becoming publicly traded through DPOs (Direct Public Offerings), IPOs (Initial Public Offerings) and Reverse Mergers. There are a number of methods of "going public" for small businesses:

Direct Public Offering - A Direct Public Offering (DPO) is not only a fast and relatively inexpensive method of going public; it also allows the company to retain the maximum percentage of ownership. Examples of DPOs include Private Placements, Regulation S and S-1 offerings and Spin-Offs. The company can then apply for listings through a market maker on the NNOTC Electronic Bulletin Board or the OTC QX (Pink Sheets).

Initial Public Offering - To seek going public through an IPO, the company must enlist an underwriter to raise money and take the company public through either a "guaranteed" offering or a "best efforts" offering. The underwriter charges a number of fees along with a broad stock option program. It can take nine to eighteen months to get approvals. Risk and time factors along with huge fees make an IPO a costly undertaking.

Reverse Takeover - A Reverse Takeover (RTO), otherwise known as a Reverse Merger, occurs when a private company merges with a publicly-traded company. The major advantage of a Reverse Takeover is that the private company can become a publicly-traded corporation within thirty-one days. The major disadvantage of this method is its costliness.

We regularly represent clients in Reverse Takeovers, including purchases of public and private companies. Costs for a privately held or publicly held company (non-reporting or reporting) varies depending upon the market place where the company trades, and the percentage of free shares and restricted shares available.
